DeepVal Terms of Service

Version v0.6 · Effective:

These Terms apply to the deepval.ai website and related DeepVal services. The services are intended for users in Hong Kong, the United States and Canada. DeepVal is operated by DEEPVAL INTELLIGENCE LIMITED (“we”, “us” or “our”). Please read these Terms before registering for, purchasing or using the services, particularly the limitations of liability in Section 8 and dispute resolution provisions in Section 9. If you do not agree, please do not use the services.

1 Services and Research Boundaries

DeepVal provides AI-assisted company research reports, business model and competitive advantage analysis, valuation information, tracking of key questions and related updates. You actively search for and select the companies you follow. We provide information and updates about those companies; we do not recommend specific stocks for you to invest in.

We do not provide a personal investment plan based on your holdings, funds or risk preferences, or provide buy, sell or hold recommendations or recommended position sizes. We are not a licensed investment adviser. Reports, valuations and updates are provided solely as research references, do not constitute investment advice tailored to you, and do not guarantee future prices or returns.

AI outputs and third-party financial, market and news data may contain errors, calculation inaccuracies, omissions or outdated information, and may be delayed or interrupted. Valuations depend on specific assumptions and are not endorsements of a security’s value or trading signals. Check original disclosures and reliable sources, and do not make investment decisions solely on the basis of the outputs. The absence of a tracking update does not mean there is no risk. You may lose your entire investment. If you need personal advice, consult an appropriately licensed professional.

2 Accounts and Use

You must have the capacity to enter into a contract under applicable law. If you use the services on behalf of an organisation, you must be authorised by that organisation. Provide accurate account information, safeguard your login credentials and promptly contact [email protected] if you discover unauthorised access.

You must not use the services for unlawful activities, fraud, infringement or market manipulation; bypass access, billing or security restrictions; access other people’s information without authorisation; rent out or resell account access; or interfere with or abuse the services through malicious automation, unauthorised bulk scraping or similar means. This provision does not affect rights expressly protected by law that cannot be restricted by contract.

Logging in or viewing public examples does not, by itself, purchase a paid plan. The specific scope of the services and usage allowances are determined by the plan and order displayed at the time of purchase.

3 Payments and Credits

Paid plans currently require a one-time payment. The purchase page states the amount, currency, taxes and monthly or annual service term. Plans do not renew automatically and you will not be charged again when the term expires. To continue receiving paid benefits, you must actively make another purchase. There is no automatic renewal to cancel.

Credits are used to generate research. Company capacity means the number of companies you can track at the same time. Plan allowances, credit charges and validity periods are governed by the rules displayed on the purchase page and before the relevant action. Annual plans issue credits monthly, rather than issuing the entire annual allowance at once. Membership credits expire at the end of each credit period and do not roll over. You cannot spend more credits than you have.

Purchasing the same plan before it expires generally extends the service term without immediately issuing additional credits for the current period. An upgrade may invalidate credits from the previous plan. The amount credited towards the upgrade and the treatment of credits will be explained before you confirm. When the paid term ends, your account moves to the free plan and tracking is subject to its capacity limit. Historical research is not deleted solely because the paid term expires naturally.

If a task fails, credits are returned based on the original deduction record. The amount returned will not exceed the original deduction, and the original credit batch’s expiry date is not extended. If you cannot use the returned credits, contact support for assistance. Returning credits is different from a cash refund; neither affects remedies available under applicable law.

4 Refunds

Users in Hong Kong, the United States and Canada may request a full refund to the original payment method if both conditions are met: the request is made within 24 hours after successful payment for a monthly plan, or within 72 hours for an annual plan; and no more than 20 credits attributable to that order have been successfully used. Failed tasks and erroneous duplicate credit deductions do not count towards successful usage.

Send your request to [email protected] and include your account email address and order number. Eligibility is assessed based on when the request reaches that email address and your usage at that time. Processing delays do not cause you to lose eligibility. Do not send passwords or full payment card numbers.

When an eligible full refund is approved, the paid benefits for that order end, and any remaining credits and future credit issuances for that order are cancelled. Historical reports are not locked solely because of the refund and remain available on a read-only basis. Their retention remains subject to account closure, deletion required by law and service termination arrangements; this is not a commitment to permanent hosting. Refunds are returned through the original payment channel. If that is not possible, we will discuss an alternative in accordance with applicable law. The payment provider determines when the funds actually arrive.

After the request window has expired, or if more than 20 credits have been successfully used, we generally do not provide discretionary cash refunds for unused time or credits. The above time windows and usage thresholds do not limit remedies for duplicate or incorrect charges, unauthorised payments, failure to deliver purchased core benefits, or cancellation, refunds or other remedies required by law. Stopping use of the services or turning off notifications does not constitute a refund request.

5 Your Content and Intellectual Property

You retain your rights in your own input content and must ensure that you have the right to submit and use it. Do not submit unnecessary sensitive personal information, passwords, payment information, trade secrets or confidential information you are not authorised to disclose.

To receive, process and respond to your requests, you permit us to process your content to the extent necessary to provide, maintain and safeguard the services, and to engage relevant providers to perform those tasks. This permission does not transfer ownership of your content or authorise us to make it public at will. Personal information is handled under the separate Privacy Policy.

Subject to these Terms and your purchased plan, you may view, save and use research results you have lawfully obtained. Unless separately authorised, you must not resell the services, bulk reports or third-party data as standalone products, or remove required source attributions or copyright notices.

Rights in the platform software, branding and interface belong to us or the relevant rights holders. Rights in underlying data, quotations and third-party content remain with their respective rights holders. AI outputs may resemble other content; we do not promise that they are exclusive or necessarily protected by copyright. Third-party websites and services may have their own terms. Providing a link does not mean that we endorse all of its content. Third-party data coverage, licensing and availability may change, and related features may be adjusted. This does not automatically relieve us of our obligations to provide remedies for purchased services.

6 Privacy

The Privacy Policy published separately on our website explains how we collect, use, retain and protect personal information, and how you can exercise your rights. Send privacy-related requests to [email protected].

7 Service Changes and Termination

We may adjust, suspend or terminate parts of the services for maintenance, security risks, legal requirements or breaches of these Terms. Our actions should be proportionate to the actual reasons and risks. Except in emergencies, where legally restricted or where doing so could impede a security investigation, we will provide a reasonable explanation and, where appropriate, an opportunity to remedy the issue or contact support.

If we permanently discontinue a core service you have paid for, or terminate a paid plan for reasons not attributable to you, we will address remedies or refunds based on the unperformed portion and applicable law. Action taken in response to a breach does not automatically mean that all prepaid amounts, data or other benefits are forfeited. Account closure and data deletion are handled under the Privacy Policy.

If your use of the services in intentional violation of the law, through fraud or with knowing infringement of third-party rights results in a third-party claim against us, you must, to the extent you are legally responsible, compensate us for direct losses and reasonable, necessary expenses established by a judgment or ruling that has taken legal effect or a settlement to which you have agreed in writing. You are not responsible for the portion caused by our fault or that of another party. This provision does not require you to bear a party’s own administrative fines or unconditionally take over its defence.

8 Disclaimers and Limitations of Liability

To the extent permitted by applicable law, the services and research outputs are provided “as is” and “as available”. Except for express commitments in these Terms and statutory protections that cannot be excluded, we do not warrant that outputs or third-party data are accurate, complete, timely or suitable for a particular purpose, or that the services will always be uninterrupted. You should make investment and other decisions independently.

This section does not exclude or limit our liability for fraud, wilful misconduct, gross negligence, or death or personal injury caused by negligence. It also does not limit consumer, privacy or other statutory rights that cannot lawfully be excluded or restricted. Refund obligations under these Terms or applicable law are not reduced by the damages cap below.

Subject to the exceptions above and to the extent permitted by applicable law, we are not liable for damages that legally constitute indirect or consequential loss. The nature of a loss is determined by the specific facts and applicable law. A loss is not automatically indirect merely because it concerns investments, trading, profits or data.

Subject to the exceptions above and to the extent permitted by applicable law, our aggregate liability to you for damages arising from the services or these Terms is limited to the greater of the total fees you actually paid for the relevant services during the 12 months before the event giving rise to the claim, or US$100 (or its equivalent in local currency). The US$100 baseline also applies to free services, but not where the law prohibits that limitation.

For consumers in Quebec, the above exclusions of warranties, exclusions of indirect loss and damages cap do not apply to liability arising from our acts or those of our representatives where local law prohibits such limitations. If another jurisdiction prohibits a particular limitation, that limitation also does not apply.

9 Terms Updates Governing Law and Disputes

We will publish updated Terms and explain when they take effect. For material changes affecting charges, core benefits or other important matters, we will give advance notice in a manner proportionate to their impact. Where the law requires renewed consent, we will obtain it. Changes will not retroactively cancel existing benefits under confirmed orders.

If you have a dispute, you may contact [email protected] with your account, order and details of the issue. The parties may first try to resolve it through discussion, but doing so is not a prerequisite to exercising statutory remedies. These Terms are governed by the laws of the Hong Kong Special Administrative Region, and the parties submit to the non-exclusive jurisdiction of the competent courts of Hong Kong. This does not deprive you of mandatory consumer protections where you live, or your right to seek help from competent local courts and regulators. Where the law prohibits choosing Hong Kong law or courts, that choice does not apply to you. The above Hong Kong choice-of-law and court provisions do not apply to consumers in Quebec; their disputes are subject to local law and competent courts.

If any provision of these Terms is invalid or unenforceable under applicable law, the remaining provisions continue in effect to the extent permitted by law.
