Terms of Service

Please read these Terms carefully before using DeepVal.
1. Acceptance of These Terms
By accessing, browsing, registering for, purchasing, or using DeepVal’s website, products, or services, you agree to these Terms of Service (“Terms”). If you do not agree, do not use DeepVal.
If you are using DeepVal on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Eligibility and Jurisdiction
You must be at least 18 years old, or the age of majority in your place of residence if higher, to use DeepVal.
DeepVal is not intended for users in jurisdictions where access to or use of the service would violate local law or require a license, registration, or approval that DeepVal does not hold.
You are responsible for ensuring that your access to and use of DeepVal complies with the laws and regulations applicable to you.
3. What DeepVal Provides
DeepVal is a technology platform that provides AI-assisted research, analysis, summaries, and related information tools concerning companies, securities, markets, and public information.
The service may include AI-assisted research reports, screening results, research summaries, watchlists, market commentary, and other informational outputs.
4. No Investment Advice; No Regulated Financial Services
DeepVal is provided for informational and research-assistance purposes only. Nothing on DeepVal constitutes investment, securities, legal, accounting, tax, or other professional advice.
DeepVal does not provide personalized investment recommendations, portfolio management, brokerage, trade execution, solicitation, or fiduciary services.
No output on DeepVal should be understood as a recommendation to buy, sell, hold, or refrain from buying, selling, or holding any security or other asset.
You are solely responsible for your own research, judgment, and decisions. You should independently verify material facts and consult qualified professionals where appropriate.
5. AI Outputs and Third-Party Data
DeepVal uses AI systems and third-party data sources. AI-assisted content may contain errors, omissions, hallucinations, incorrect inferences, outdated information, or fabricated references or numbers.
Data and content obtained from third parties may be delayed, incomplete, unavailable, or not independently verified by DeepVal.
You should not rely on DeepVal as your sole source of truth for any financial, legal, business, or compliance-sensitive decision.
6. Accounts and Account Security
You may need to create an account to use certain features. You must provide accurate, current, and complete information and keep it updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.
You must promptly notify DeepVal if you believe your account has been accessed without authorization or otherwise compromised.
7. Paid Plans, Billing, Credits, and Auto-Renewal
Certain features may require payment. DeepVal may offer recurring subscriptions, prepaid credits, or other paid plans, as described at the point of purchase.
If you purchase a recurring subscription, you expressly agree that the subscription will automatically renew until canceled, and you authorize DeepVal or its payment processor to charge your selected payment method on a recurring basis.
You may cancel a recurring subscription before the next renewal date to avoid future charges. Unless required by law or expressly stated otherwise, fees already paid are non-refundable, and no partial or prorated refunds will be provided for unused time in a billing period.
If a plan includes usage limits, credits, expiration dates, or rollover rules, those terms will be disclosed at the point of purchase and will control.
DeepVal may change pricing or plan features in the future. For material changes to recurring subscriptions, DeepVal will provide any notice required by applicable law, and may provide additional advance notice as a customer courtesy.
Taxes, foreign-exchange charges, bank fees, and similar charges imposed by your payment provider or bank are your responsibility unless stated otherwise.
8. Acceptable Use and Prohibited Conduct
You may use DeepVal only for lawful purposes and in accordance with these Terms.
You may not, and may not allow any third party to:
- use bots, scrapers, or automated methods to extract, index, monitor, copy, or collect content or data from DeepVal except as expressly permitted;
- reverse engineer, decompile, disassemble, probe, or attempt to discover source code, models, prompts, system architecture, or non-public features;
- circumvent any rate limit, paywall, usage cap, access control, or security feature;
- share accounts or credentials;
- reproduce, redistribute, resell, sublicense, or commercially exploit DeepVal outputs except as expressly allowed;
- present AI-assisted output as independent human-authored research;
- use DeepVal outputs to provide regulated financial services to any third party;
- upload malicious code or otherwise interfere with the proper operation of the service.
9. Intellectual Property and Your License to Use the Service
DeepVal and its licensors retain all right, title, and interest in and to the platform, software, models, design, branding, and all related intellectual property rights.
Subject to your compliance with these Terms, DeepVal grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the service for your personal or internal lawful purposes.
Unless DeepVal expressly states otherwise, you may not use DeepVal content or outputs for public redistribution, commercial resale, or creating a substitute service.
10. Your Inputs, Feedback, and Permissions
As between you and DeepVal, you retain any rights you may have in content you lawfully submit to the service (“Inputs”).
You grant DeepVal a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, reproduce, and use your Inputs as necessary to operate, maintain, secure, and provide the service to you.
If you provide suggestions, ideas, or feedback about DeepVal, you agree that DeepVal may use them without restriction or compensation to you.
11. Privacy
Your use of DeepVal is also subject to DeepVal’s Privacy Policy, which explains how DeepVal collects, uses, stores, and shares personal information.
By using DeepVal, you acknowledge that your personal information may be handled in accordance with the Privacy Policy.
12. Service Changes, Suspension, and Termination
DeepVal may modify, update, suspend, or discontinue any part of the service at any time, including features, outputs, availability, or supported markets.
DeepVal may suspend or terminate your access if DeepVal reasonably believes you have violated these Terms, created risk for DeepVal or others, or used the service unlawfully or abusively.
You may stop using DeepVal at any time. If DeepVal permanently terminates a paid service that you prepaid for, DeepVal may, in its discretion or where required by law, provide a reasonable refund or service credit for the unused portion.
13. Disclaimer of Warranties
DeepVal is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, DeepVal disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, reliability, and uninterrupted availability.
14. Limitation of Liability
To the maximum extent permitted by law, DeepVal and its affiliates, service providers, licensors, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, opportunities, trading gains, or investment losses arising from or related to your use of DeepVal.
To the maximum extent permitted by law, DeepVal’s aggregate liability for all claims arising out of or relating to the service or these Terms will not exceed the greater of (a) the amount you paid to DeepVal in the 12 months before the event giving rise to the claim, or (b) USD 100.
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, death or personal injury caused by negligence, or any liability that cannot be excluded or limited under applicable law.
15. Indemnity
You agree to defend, indemnify, and hold harmless DeepVal and its affiliates, service providers, licensors, and partners from and against claims, liabilities, damages, losses, and expenses arising out of or related to your violation of these Terms, misuse of the service, or violation of law or third-party rights.
16. Governing Law and Dispute Resolution
These Terms and any dispute, claim, or controversy arising out of or relating to DeepVal or these Terms will be governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws principles.
The courts of the Hong Kong Special Administrative Region will have exclusive jurisdiction, and you and DeepVal submit to the exclusive jurisdiction of those courts, unless applicable law requires otherwise.
17. Changes to These Terms
DeepVal may revise these Terms from time to time. If DeepVal makes material changes, DeepVal will provide reasonable notice by posting an update on the website, through the product, or by other appropriate means.
Your continued access to or use of DeepVal after the updated Terms become effective means you accept the revised Terms.
18. Language; Entire Agreement; Contact
These Terms, together with any applicable plan terms, feature-specific terms, and the Privacy Policy, form the complete agreement between you and DeepVal regarding the service and supersede prior discussions relating to the same subject matter.
If there is any inconsistency between the English and Chinese versions of these Terms, the English version will prevail to the extent permitted by applicable law.
